Terms of Service

Last updated: 12 October 2026 (version 2026-10)

These terms are an agreement between your business and ShoppingFeeder (Pty) Ltd, trading as Reech ("Reech", "we", "us"), which runs the trade marketing platform at reech.to. You accept them when you create an account, and again for your business when you accept the platform agreement on your Payments or Campaign fund page. If you accept on behalf of a company, you confirm you may bind that company. Parts 1 and 3 apply to everyone. Part 2 applies once money moves through Reech Trade.

Part 1. Using Reech

1. What Reech is

Reech connects brands and retailers so that advertising funded by a brand can run in a retailer's own advertising accounts, on the retailer's own product data, and settle against verified results. It includes the free Reech Hub (scores and insights), Reech Trade (funded campaigns, proposals and settlement), and Draper, our AI assistant.

2. Your account

  • Keep your login details confidential. You are responsible for activity on your account.
  • Give us accurate information about yourself and your business, and keep it current, including your billing details.
  • You must be at least 18 and using Reech for business purposes. Reech is not a consumer service.

3. Connected platform accounts

When you connect an advertising or commerce account (for example Google Ads, Google Merchant Center, Meta, TikTok or ShoppingFeeder), you authorise Reech to access that account on your behalf to read performance data and, where you direct it, to create or change campaigns. You confirm you are entitled to grant that access. You can disconnect any account in Settings at any time, which stops further access. Your use of those platforms remains governed by their own terms and policies.

4. Draper and automated suggestions

Draper drafts plans, creatives and recommendations. A human always approves before anything changes in a live advertising account. Draper's output is assistance, and you are responsible for what you approve.

5. Acceptable use

  • No unlawful, deceptive or infringing advertising, and no content that breaches the policies of the platform the ads run on.
  • No fake clicks, fake orders or anything else that inflates the results a settlement is based on.
  • No attempts to break, probe or overload the service, or to access another customer's data.
  • No reselling or scraping of Reech data without our written agreement.

6. Your content and our platform

You keep ownership of the material you bring (product data, logos, creatives, trade marks) and you give us the licence needed to operate the service, for example to generate creatives from your brand assets and push them to the ad platforms you connect. A brand also gives the retailers it works with on Reech the right to use its product images, logos and claims in the agreed campaigns, and confirms they are accurate and lawful. Reech, Draper and everything we built remain ours.

7. What the other side sees

When a brand and a retailer agree a campaign, both see that campaign's budget, results and settlement statements. A brand does not see a retailer's other campaigns, other brands' deals or the retailer's wider sales. Each side keeps the other's business information confidential and uses it only for the campaign.

Part 2. Reech Trade: campaigns, money and fees

8. How a campaign is agreed

  • A campaign starts as a proposal from a brand or a retailer. It sets out the products, budget, dates and any bonus for the retailer. The other side can accept it, decline it or reply with changes.
  • Once accepted, the proposal and these terms together are the campaign agreement. Nothing runs before acceptance.
  • Reech sits in the middle of the money. The retailer supplies the advertising service to Reech, and Reech supplies the campaign to the brand. The brand pays Reech, and Reech pays the retailer.
  • The retailer runs the agreed campaign in its own ad accounts, on the agreed products, and keeps those accounts and its order tracking connected to Reech while the campaign runs.

9. The brand's campaign fund

  • A brand pays money in advance into its Reech campaign fund, by EFT against a pro-forma invoice. This is an advance payment for campaigns and Reech's fees. It is not a bank deposit or an investment, and it earns no interest.
  • Reech uses the fund only to pay the brand's settlements, Reech's fees on them and the monthly platform fee. Every movement shows on the brand's Campaign fund page.
  • A brand can ask for its unused balance back at any time by emailing [email protected]. Reech first settles any months already run, then pays the rest back to the brand's bank account within 14 days.

10. Verified results and monthly settlement

  • Campaigns settle once a month for each retailer, for the calendar month just ended.
  • Verified ad costs are what the ad platform reports as spent on the campaign, read by Reech from the retailer's connected account. A verified sale is an order from the retailer's store that Reech's tracking ties to the campaign.
  • The retailer is paid its verified ad costs in full, plus the bonus agreed in the proposal if the month earned it. A bonus with a target return is paid only in a month the verified return reaches that target.
  • Reech works out and verifies each amount from these records. Both sides see the same settlement statement, line by line.
  • Reech never pays out more than the brand's fund holds. If the fund is short, the settlement waits until the brand tops it up, and the retailer may pause the campaign in the meantime.

11. Fees

All fees are before VAT. VAT is added where it applies.

  • Brands: a platform fee of R4 000 for each calendar month in which any of the brand's funded campaigns spends money on a retailer's ad account (campaigns on a brand's own store do not count). It is taken from the campaign fund at the start of the next month, or invoiced for payment within 7 days if the fund is short.
  • Brands: 7% of each settlement (the retailer's ad costs plus any bonus), charged from the fund when the settlement is paid out.
  • Pilots: a brand on an agreed pilot pays no monthly platform fee until the pilot's end date shown on its Campaign fund page. The 7% still applies.
  • Retailers: no platform fee. Reech keeps 15% of any bonus a retailer earns, as its fee for arranging, verifying and settling the campaign. Reech invoices this fee separately and deducts it from the payout. Reech never takes anything from the retailer's ad costs.
  • Everyone: the Reech Hub is free. Draper credits are bought by card at the price shown in the app, expire 12 months after purchase, and are not refundable except where the law requires.
  • We give 30 days' notice of any change to these fees. A change never applies to a month that has already started, and never changes a bonus already agreed in a proposal.

12. Paying retailers: self-billing and VAT

Reech writes the retailer's invoice for it, so the retailer never has to bill anyone. This is called self-billing. By accepting the platform agreement, the retailer and Reech agree to the following:

  • Reech issues the invoice for the retailer's monthly supply to Reech, on the retailer's behalf, within 21 days of the end of the month. Each invoice has its own number and date.
  • The retailer does not issue its own invoice, credit note or debit note for a supply that Reech has self-billed.
  • Reech sends the retailer a copy of every self-billed invoice and keeps a copy for at least five years.
  • Where the retailer and Reech are both registered for VAT, the self-billed invoice is a tax invoice under section 20(2) of the Value-Added Tax Act and SARS Binding General Ruling 15, and includes VAT. Where either is not registered, the invoice carries no VAT and is not a tax invoice.
  • The retailer keeps its VAT number up to date on its Payments page and tells Reech within 7 days if it registers for VAT, deregisters or changes its VAT number. Each party tells the other if it stops being a VAT vendor.
  • Reech pays the retailer by EFT within 7 days of each self-billed invoice, to the bank account on its Payments page. The amount paid is the invoice total less Reech's separate invoice for its 15% share of the bonus.
  • Each business remains responsible for its own tax returns.

13. Questions about a statement

If something on a settlement statement or invoice looks wrong, query it from the Payments or Campaign fund page within 14 days of issue, saying what you think is wrong. Reech checks it against the ad platform and order records and replies within 7 days. Parts that are not in question are paid on time. If an amount was paid in error, Reech corrects it in the next settlement.

14. Setting off amounts

Reech may deduct any amount a business owes Reech under these terms from an amount Reech owes that business, and shows every deduction on the documents.

15. Working together outside Reech

Reech introduces brands to retailers they may not know. For 12 months after a brand and a retailer first agree a campaign through Reech, brand-funded advertising between them runs through Reech. If it runs outside Reech in that time, the brand pays Reech the 7% fee it would have paid on that spend.

Part 3. General

16. Ending things

You can close your account at any time. We may suspend or end accounts that break these terms or create risk for other customers or the platforms we integrate with. When an account closes, months already run are settled as agreed, and a brand's unused fund balance is paid back under clause 9.

17. Liability

Reech is provided as is. We report campaign results faithfully but do not guarantee them. To the maximum extent the law allows, we are not liable for indirect or consequential loss, and our total liability for any claim is limited to the fees you paid Reech in the three months before the claim arose. This limit does not apply to money Reech holds for you or owes you under Part 2. Nothing in these terms limits liability that cannot lawfully be limited.

18. Changes to these terms

We may update these terms. We announce material changes in the product or by email at least 30 days before they apply, and ask you to accept the new version on your Payments or Campaign fund page. Each version is numbered, and we keep a record of who accepted which version and when.

19. Law and disputes

These terms are governed by the laws of the Republic of South Africa. If a dispute arises, both sides first try to settle it in good faith within 30 days of one side raising it in writing. If that fails, either side may go to a South African court with jurisdiction.
